What Alabama Asks of an Agent

Ala. Code § 10A-1-5.31 is short about it. The agent has to live in Alabama or be a company cleared to transact business in the state, and has to keep an office at the very address listed as your registered office. That address must be a street address where process can be served on a person. Mailbox services do not count. Telephone answering services do not count. The Secretary of State's forms refuse PO boxes.

Both companies satisfy that. The statute does not distinguish between them, which means the $150 annual difference is buying brand recognition rather than a better legal position.

The Alabama Filing That Ends a LegalZoom Subscription

There is one form and it has no number. The state's name for it is long: Change of Registered Agent or Registered Office by Entity. Filing happens under § 10A-1-5.32 of the Alabama Code, the recipient is the Business Services Division inside the Alabama Secretary of State's office, the fee is $100 per the schedule now in force, and submissions are accepted by mail or by email to miscellaneous.filings@sos.alabama.gov.

Fill it in with the entity's registered name, the state ID number assigned to it, and the incoming agent's details including their Alabama street address. That last requirement is why appointing comes first: the form cannot be completed without an agent already engaged, and doing it in that order means the transition on the public record is direct, with no window in which your business has no agent listed. After it processes, look the entity up in the state's online records and check that the new name appears.

The subscription is separate work. LegalZoom's $249 auto-renews, and it will keep auto-renewing until you cancel it with them. Alabama's records have no bearing on your billing.
